01Agreement to terms

These Terms of Use govern your access to and use of avonsn.com and the Avonsn platform (the “Services”). By accessing the Services you agree to these terms. If you are using the Services on behalf of an organization, you confirm you have authority to bind that organization.

02Eligibility and access

The Services are intended for organizations and their authorized users. Access to the Avonsn platform is currently provided on an invitation and agreement basis. We may grant, limit, suspend, or withdraw access at our discretion, including where these terms are breached.

03The platform and deployment

Avonsn provides enterprise AI software and vertical operating systems that are typically deployed within your own environment, on-premises, in your private cloud, or air-gapped. The specific scope, configuration, support, and commercial terms of any deployment are set out in a separate customer agreement, which prevails over these terms in the event of conflict.

04Acceptable use

You agree not to: use the Services unlawfully or to infringe others' rights; attempt to gain unauthorized access to systems or data; interfere with the integrity or performance of the Services; reverse engineer except as permitted by law; or use the Services to develop a competing product. You are responsible for use of the Services by your authorized users.

05Customer data and responsibilities

Where the Services run in your environment, you control and are responsible for the data processed there, including its lawful basis, accuracy, and the configuration of access. You are responsible for maintaining appropriate security, oversight, and human review of outputs, particularly in clinical, educational, and financial contexts.

06Intellectual property

Avonsn and its licensors retain all rights in the Services, including software, models as configured by us, and related materials, except for components licensed under open-source terms. Nothing in these terms transfers ownership of our intellectual property to you.

07Open-source components

Our platform incorporates open-source software, including open-source large language models. Such components are provided under their own licenses, which apply to those components and, where required, take precedence over these terms for that component.

08Confidentiality

Each party may receive confidential information from the other. Each party agrees to protect the other's confidential information and to use it only as needed to exercise rights and meet obligations in connection with the Services.

09Disclaimers

The Services are provided “as is” and “as available” to the fullest extent permitted by law. AI outputs may be incomplete or inaccurate and are intended to support, not replace, professional judgment. We do not warrant that the Services will be uninterrupted or error-free.

10Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, or consequential losses, or for loss of profits, revenue, or data. Nothing in these terms excludes liability that cannot be excluded by law. Any liability caps are as set out in the applicable customer agreement.

11Indemnity

You agree to indemnify Avonsn against claims arising from your unlawful use of the Services or breach of these terms, to the extent permitted by law.

12Term and termination

These terms apply while you access the Services. We may suspend or terminate access for breach or where required by law. Provisions that by their nature should survive termination will do so.

13Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, without affecting any mandatory rights you may have locally.

14Changes to these terms

We may update these terms from time to time. The “last updated” date above reflects the current version, and continued use after changes take effect constitutes acceptance.
